Please read these Terms of Service carefully before using InvoMatrix's website, software products, or services.
1. Acceptance of Terms
- By accessing or using InvoMatrix's website, software products, or services, you agree to be bound by these Terms of Service.
- If you are using our services on behalf of a company or organisation, you represent that you have authority to bind that entity to these terms.
- If you do not agree to these terms, please do not use our services.
2. Description of Services
- InvoMatrix provides enterprise software products including Incident One (incident management platform) and Society Management (residential society management — coming soon).
- We also provide custom software development, IT consulting, web and mobile application development services.
- We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice.
3. User Accounts
- To access certain features, you may need to create an account. You are responsible for maintaining the confidentiality of your credentials.
- You must provide accurate, current, and complete information when registering.
- You are responsible for all activities that occur under your account.
- You must immediately notify us of any unauthorised use of your account.
- We reserve the right to terminate accounts that violate these terms.
4. Acceptable Use
- You agree to use our services only for lawful purposes and in accordance with these terms.
- You must not use our services to: transmit harmful or malicious code; attempt to gain unauthorised access to any system; harass, abuse, or harm others; violate any applicable laws or regulations.
- You must not attempt to reverse-engineer, decompile, or disassemble our software.
- You must not use our services to compete with or replicate InvoMatrix products.
5. Intellectual Property
- All content, software, logos, trademarks, and materials on our website and in our products are owned by InvoMatrix and protected by intellectual property laws.
- We grant you a limited, non-exclusive, non-transferable licence to use our services as intended.
- You may not copy, reproduce, modify, or distribute our intellectual property without express written permission.
- Customer data you input into our systems remains your property. We do not claim ownership of your data.
6. Payment Terms
- Fees for our software products and services are as agreed in your service agreement or as stated on our pricing pages.
- All fees are quoted in Indian Rupees (INR) unless otherwise stated.
- Payment is due as specified in your invoice. Late payments may incur interest at 1.5% per month.
- We reserve the right to suspend services for non-payment after reasonable notice.
- Refunds are subject to our refund policy as stated in your service agreement.
7. Confidentiality
- Both parties agree to keep confidential any proprietary or sensitive information shared during the course of our relationship.
- This obligation of confidentiality survives the termination of our service agreement.
- We will not disclose your data to third parties except as described in our Privacy Policy.
8. Limitation of Liability
- To the maximum extent permitted by law, InvoMatrix shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
- Our total liability to you for any claims arising from these terms or our services shall not exceed the amount you paid us in the 12 months preceding the claim.
- We do not warrant that our services will be uninterrupted, error-free, or free from harmful components.
9. Indemnification
- You agree to indemnify and hold InvoMatrix harmless from any claims, damages, or expenses arising from your use of our services, violation of these terms, or infringement of third-party rights.
10. Termination
- Either party may terminate the service relationship with 30 days' written notice, unless otherwise specified in your service agreement.
- We may terminate immediately if you materially breach these terms.
- Upon termination, you must cease using our services. We will provide you with a data export upon request.
11. Governing Law
- These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Kolkata, West Bengal, India.
- We encourage resolving disputes through good-faith negotiation before initiating legal proceedings.
12. Changes to Terms
- We may update these terms from time to time. Material changes will be communicated with at least 30 days' notice.
- Your continued use of our services after changes take effect constitutes acceptance of the revised terms.
